Governance
Leadership with responsibility. Authority with limits.
Softa’s governance model connects Board oversight, executive execution and product leadership with independent specialist judgement. Important decisions have an owner, a scope and a route to review.
Board and committee record
Softa’s company-confirmed governance record of 20 August 2026 lists Sunil Kumar Singh as Chairman and Director; Rishika Dhanraj Singh and Anshu Priya as Directors; and Mahaveer Singh and Mira Devi as Independent Directors. This is a dated institutional record, not a fresh statutory-filing certification.
The Audit Committee is chaired by Mahaveer Singh with Mira Devi and Rishika Dhanraj Singh. Nomination and Remuneration is chaired by Mira Devi with Mahaveer Singh and Sunil Kumar Singh. Stakeholders Relationship is chaired by Mira Devi with Mahaveer Singh and Rishika Dhanraj Singh.
The Technology, Privacy, Cybersecurity and AI Risk Committee is chaired by Mahaveer Singh with Mira Devi and Anshu Priya. The CSR committee structure is a trigger-based activation model, not an assertion that a legal trigger has occurred. Vigil and speak-up oversight sits with the Audit Committee.
Executive and product responsibilities
The same institutional baseline distinguishes Founder and Global CEO stewardship, Managing Director execution and COO operating coordination. Its product map records Jugal Kishor Jagrat for ZKTOR; Arjun for SNDESH; Sanit Baban Kale for KHOZU; Manoj Lakhi for HOLA AI; Sampad Banarji for EZOWM; Anshu Priya for ZHAN; and Himanshu Kumar for ZWATO.
These are company-recorded institutional roles, not implied signatory authority over every contract or statutory appointment in every market. Conditional DPO and independent-data-auditor roles retain their legal activation conditions. The public record of a geography is also separate from the existence of a local company or office.
Independent judgement inside the work
Privacy, security, compliance, finance and safety functions bring their own review responsibilities. Dual responsibilities require conflict handling: the product owner of a commercial change is not the sole judge of its privacy implications. Internal Audit remains separate from running and closing its own operational work.
Recusal and escalation preserve the distinction between making a decision and reviewing it. Board-reserved matters include major financing, core-product launches or retirement, material data-architecture changes and significant expansion of AI autonomy. A senior job title does not remove those boundaries.
Continuity, access and emergency authority
Access depends on purpose, role, product, data class, jurisdiction, time and need-to-know. Private communication, sensitive search, employee records and newsroom sources are not available simply because someone is senior. A task needs its own legitimate authority.
Emergency actions are intended to be necessary, proportionate, time-bound and reviewable. The purpose is an institution capable of acting during disruption without turning temporary authority into normal permanent access. Governance becomes useful when it supports both execution and correction.
